Statement of Work Template

A statement of work describes one project under a consulting agreement that's already signed, so it can stay short and specific. This template sets out the objectives, deliverables, milestones, how deliverables are accepted, the fee and payment schedule, the assumptions behind them, and how changes are agreed.

This Statement of Work is made on [Contract Date] between [Company Name] ("Consultant") and [Client Name] ("Client"), under the Consulting Services Agreement between them dated [date, for example: March 1, 2026]. The terms of that agreement apply to this Statement of Work.

1. Project and Objectives

Consultant will conduct a three-week review of how work moves through Client's operations team, from order to delivery (the "Project"). The objectives are to:

  • Find where work is delayed, duplicated, or reworked, and why
  • Measure the effect on delivery times and costs
  • Agree with Client's leadership on which improvements to pursue first

2. Deliverables

  • Interviews with up to 12 leaders and staff
  • Process maps of the current order-to-delivery flow
  • A review of operating and financial data
  • A findings report with prioritized recommendations
  • A half-day recommendations workshop with Client's leadership team

3. Timeline and Milestones

Work starts on a date agreed at kickoff, within two weeks of signing.

  • Week 1: kickoff and interviews
  • Week 2: process mapping and data review, with early findings shared at the end of the week
  • Week 3: findings report delivered and recommendations workshop held

4. Acceptance

Client will review each deliverable within five business days of receiving it, and either accept it or list the specific changes needed for it to match this Statement of Work. Consultant will make those changes once. A deliverable is accepted if Client doesn't respond within five business days.

5. Fees and Payment

The fixed fee for the Project is $11,300:

  • Leadership and staff interviews: $3,600
  • Process mapping: $2,400
  • Operating and financial data review: $2,000
  • Findings report with prioritized recommendations: $1,800
  • Recommendations workshop: $1,500

50% ($5,650) is due on signing and 50% ($5,650) on acceptance of the findings report. Expenses are billed at cost under the Consulting Services Agreement.

6. Assumptions

The fee and timeline assume that:

  • Client makes interviewees available within the first week
  • Client shares the operating and financial data requested within five business days of kickoff
  • One project sponsor at Client gives consolidated feedback and decisions
  • Interviews and the workshop are held at Client's office or by video

If an assumption doesn't hold, either party may propose a change request.

7. Change Requests

Either party may propose a change to the scope, deliverables, or schedule in writing. Consultant will describe the effect on the fee and timeline, and the change takes effect once both parties approve it in writing. Unless the change request says otherwise, additional work is billed at $175 per hour.

By signing below, both parties agree to this Statement of Work.

Frequently asked questions

What should a statement of work include?

The project's objectives, deliverables, timeline and milestones, how deliverables are accepted, the fees and payment schedule, the assumptions the price depends on, and how changes are requested and approved.

Why list assumptions in a statement of work?

A fixed fee depends on things like timely access to people and data. Writing those assumptions down gives both sides a fair way to revisit the scope or schedule if one of them doesn't hold.

Is this statement of work template free?

Yes. Read and copy the full text on this page, or edit it online and see it as your client will. When it's ready, start a free Clientary trial to send it or download it as a PDF.

Has a lawyer reviewed this template?

No. It's a general starting point written by Clientary, not legal advice, and it hasn't been reviewed by a lawyer for your situation or the laws where you and your client work. Have your own counsel review it before you use or sign it.
